1. ACCEPTANCE OF TERMS

By accessing and using ExchangeToken services, you accept and agree to be bound by the terms and provision of this agreement. These Terms apply to all visitors, users, and others who access or use the Service.

2. USE LICENSE

Subject to your compliance with these Terms, ExchangeToken grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes.

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws;
• Attempt to gain unauthorized access to any portion of the Services;
• Interfere with or disrupt the Services or servers or networks connected to the Services;
• Reproduce, duplicate, copy, sell, resell or exploit any portion of the Services without express written permission;
• Use the Services to transmit any harmful code, including viruses, worms, or malware;
• Reverse engineer, decompile, or disassemble any part of the Services.

3. SERVICE DESCRIPTION

ExchangeToken provides an API gateway service that enables you to access various AI models and services from third-party providers. We act as an intermediary between you and these third-party model providers.

Our Services include but are not limited to:

• API routing and management;
• Usage monitoring and analytics;
• Billing and payment processing;
• Customer support and technical assistance.

4. USER OBLIGATIONS

As a user of our Services, you agree to:

  Maintain the confidentiality of your account credentials and be responsible for all activities that occur under your account.

  Provide accurate, current, and complete information during registration and keep your account information updated.

5. PAYMENT TERMS

You agree to pay all fees associated with your use of the Services according to the pricing and payment terms presented to you. All fees are non-refundable unless otherwise specified.

We reserve the right to change our pricing at any time. Price changes will be communicated to you in advance and will not affect charges already incurred.

6. INTELLECTUAL PROPERTY

The Services and their entire contents, features, and functionality are owned by ExchangeToken and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the content and data you submit through the Services. By using the Services, you grant us a limited license to process and transmit your content solely for the purpose of providing the Services.

7. THIRD-PARTY SERVICES

The Services may integrate with or provide access to third-party AI model providers and other services. Your use of such third-party services may be subject to their own terms and conditions and privacy policies. ExchangeToken is not responsible for the actions, content, or policies of third-party service providers.

8. DISCLAIMERS

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. EXCHANGETOKEN DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for any delays, failures, or interruptions in the Services, including those caused by third-party service providers.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCHANGETOKEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ExchangeToken and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

11. TERMINATION

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. CHANGES TO TERMS

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised terms.

13. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
